Moroccan medical firm “Promamec” enters German CBD sector

Moroccan medical device company Promamec has acquired a 51% stake in two German companies, NGPH and MyHerbliz, which specialize in cannabidiol (CBD) products. The remaining shares are retained by their historical shareholder, New Garden Pharma Limited. This acquisition, executed through its subsidiary LasoBio S.A., marks Promamec’s entry into the German CBD market and aligns with its strategy of expansion and diversification.

NGPH and MyHerbliz are renowned for their sales and distribution of CBD-based products (including oils, cosmetics, vaporizers, and dietary supplements) under the Herbliz brand across international markets. This acquisition enables Promamec to enhance its presence in Europe and leverage the expertise of these companies in the CBD product sector. The move is particularly timely, coinciding with the recent launch of cannabis-based product commercialization in Morocco.

Founded in the 1980s, Promamec has experienced significant growth in recent years, bolstered by its partnership with Vantage Capital. The company has invested in a new production facility, expanded its product portfolio, and increased its presence in sub-Saharan Africa. The acquisition of NGPH and MyHerbliz marks a new phase in Promamec’s development as it aims to become a major player in the CBD market.

In February, LasoBio S.A. formed a partnership with Herbolea Biotech, an Italian company specializing in solvent-free extraction technologies. This agreement allows LasoBio S.A. to utilize Herbolea’s cutting-edge technologies for cannabis extraction and purification in Morocco, paving the way for sustainable CBD production.

Promamec acquires two German companies

Promamec qui a accueilli en juillet 2023 dans son tour de table, Vantage Capital, un des plus importants gestionnaires de fonds de dette mezzanine en Afrique, en lui cédant 49 % de l’entreprise pour 30 millions d’euros, vient d’acquérir deux  sociétés allemandes, active dans le domaine des produits pharmaceutiques extraits du cannabis. A travers cette acquisition, le spécialiste marocain dans la production et la commercialisation de dispositifs médicaux et paramédicaux cherche à étendre son activité à la production et la commercialisation de produits à base de cannabidiol (CBD), un composant du cannabis.

En ouvrant son capital, il y a de cela tout juste un an, au capital-investisseur panafricain, Vantage Capital, Promamec visait à financer à travers les 30 millions d’euros levés dans cette opération son plan de développement qui consiste en la construction d’une nouvelle usine de production, l’élargissement de son portefeuille en lançant de nouvelles catégories de produits, et le renforcement de sa position en Afrique subsaharienne. Aujourd’hui, le spécialiste marocain dans la production et la commercialisation de dispositifs médicaux et paramédicaux passe à l’acte en étendant son activité sur le marché allemand de la vente de produits à base de cannabidiol (CBD), un composant du cannabis.

Sa filiale LasoBio S.A., spécialisée dans la production de compléments alimentaires et de produits cosmétiques, vient en effet d’acquérir 51 % du capital de NGPH et 51 % des parts de myHerbliz. Il s’agit de deux entreprises allemandes spécialisées dans le secteur de la vente/distribution de produits à base de CBD (huiles, cosmétiques, vaporisateurs et compléments alimentaires) détenues jusqu’ici par la société macédonienne New Garden Pharma Limited, active dans le domaine des produits pharmaceutiques extraits du cannabis.

Si rien ne filtre sur le montant de cette transaction, ces deux sociétés allemandes vendent à l’étranger à travers la marque Herbliz. Mais aussi, Promamec devra relever un défi : relancer NGPH qui a accusé une perte de 2 millions d’euros.

Cette double acquisition dans un contexte où le Royaume a donné le 1er juin dernier le coup d’envoi officiel de la commercialisation des produits à base de cannabis dans les pharmacies marocaines, précisément des compléments alimentaires et des produits cosmétiques. À noter que l’Agence nationale de réglementation des activités liées au cannabis (ANRAC) prévoit un flux de revenus annuel de 4,2 à 6,3 milliards de DH d’ici 2028 de recettes issues du cannabis légal.
